Intellectual Property Policy

Ownership, licensing and permitted use of website materials, project inputs, custom deliverables and retained tools.

1. Purpose

This Policy describes the intellectual-property principles applicable to the Woodlentra Studio website and professional services. A signed agreement, statement of work or license may establish project-specific ownership. Where a direct conflict exists, the signed project document controls.

2. Website materials

The website’s layout, written copy, visual system, marks, graphics, interaction concepts, code, motion, photographs, generated imagery, design elements and arrangement are protected by copyright, trademark and other laws to the extent applicable. Except for ordinary personal or internal business review, no person may reproduce, publish, distribute, sell, sublicense, remove attribution from, create a derivative commercial site from, or use these materials to train or promote a competing service without written permission.

Temporary browser copies made automatically to view the website are permitted. Permission to view does not transfer ownership or grant a license to extract source assets, copy distinctive design expression or republish legal text as another business’s policy without review and adaptation.

3. Client materials

The client retains ownership of content, data, trademarks, brand assets, code and other materials it lawfully supplies. The client grants Woodlentra Studio a limited, nonexclusive license to host, copy, modify, test and use those materials only as reasonably necessary to evaluate and perform the engagement, maintain records, provide approved support and exercise rights under the agreement.

The client represents that it has sufficient rights and authority to provide the materials and instructions. The studio is not responsible for independently clearing client-supplied names, copy, images, datasets, fonts, software, designs or third-party content unless clearance work is expressly included.

4. Custom deliverables

“Custom Deliverables” means final work expressly identified in a signed project document as created specifically for the client, such as approved interface files, custom application code, project documentation or configured assets. Drafts, alternatives, rejected directions, working files and internal methods are not Custom Deliverables unless expressly listed.

Upon full payment of all fees and reimbursable costs, ownership or the agreed exclusive license in the Custom Deliverables transfers as stated in the project document. No transfer occurs before full payment. Use before transfer is a limited revocable license solely for review, testing and acceptance.

5. Retained materials and know-how

Woodlentra Studio retains ownership of materials developed before the engagement and of general-purpose tools, utilities, libraries, patterns, frameworks, architecture methods, design-system methods, code techniques, templates, processes, know-how and skills that are not unique expression created exclusively for the client. The studio also retains the right to use general knowledge and experience gained during a project, provided client confidential information and exclusive assets are not disclosed.

If retained material is embedded in a paid Custom Deliverable, the client receives a perpetual, worldwide, nonexclusive license to use that retained material only as part of, or as necessary to operate and maintain, the Custom Deliverable. The client may permit its personnel and replacement service providers to exercise that license for the client’s business.

6. Third-party and open-source components

Deliverables may include open-source software, commercial libraries, platform code, fonts, plugins, APIs, stock material or other third-party components. Those items remain subject to their own licenses and are not transferred by Woodlentra Studio. The client must comply with applicable attribution, use, seat, distribution, source-disclosure, subscription and renewal requirements.

Where feasible, material third-party dependencies will be identified in project documentation or repository records. The studio does not warrant that a third-party license, product or component will remain available on the same terms. Replacement work caused by a later license or platform change is outside the original scope unless stated otherwise.

7. Source files, repositories and credentials

Delivery of source code, design source files, build configurations, credentials and repository history depends on the agreed scope and payment status. Internal experiments, evaluation scripts, rejected drafts, proprietary utilities and unrelated development history are not included merely because they were used during production.

When a client-owned repository or account is required, the client is responsible for maintaining ownership, access recovery and authorized users. Access supplied to Woodlentra Studio is limited to the project purpose and may be removed after transition.

8. Proposals, specifications and unpaid concepts

Proposals, estimates, architecture outlines, prototype concepts and sample directions supplied before or outside a paid transfer remain Woodlentra Studio materials. A recipient may use them to evaluate the proposed engagement but may not implement them through another provider, distribute them as a procurement specification, or remove identifying information without permission. A paid discovery deliverable may carry broader rights when expressly stated.

9. Artificial intelligence and generated material

Project work may use automated or generative tools for exploration, internal analysis, code assistance, visual ideation or production support when appropriate to the agreed scope. Generated output may not qualify for the same exclusivity or copyright protection as wholly human-authored material, and similar output may be produced for others. Material intended for final use should be reviewed, adapted and validated for accuracy, security, originality and licensing context.

Client confidential information will not knowingly be submitted to a public generative system in a manner inconsistent with the project’s confidentiality and data requirements. A client with tool-specific restrictions must identify them before work begins.

10. Trademarks and names

Woodlentra Studio names, visual identifiers and marks may not be used to suggest endorsement, partnership, certification or origin without written authorization. Client trademarks remain client property. Use in a project, internal preview or approved portfolio reference does not transfer trademark ownership.

11. Portfolio and attribution

Unless a signed agreement prohibits it, Woodlentra Studio may identify the client and display nonconfidential portions of publicly launched work for portfolio, award, case-study and business-development purposes. Confidential data, unpublished strategy and protected access will not be disclosed. A client may request a reasonable embargo or omission before launch, and any approval requirements should be documented in the project agreement.

Required attribution in a public deliverable applies only when expressly agreed or required by a third-party license.

12. Feedback

Suggestions about general services, tools or website improvements may be used without restriction or compensation, provided the use does not disclose confidential information or appropriate a client’s exclusive Custom Deliverable. Feedback should not include material a person is not authorized to provide.

13. Infringement notices

A person who believes website or project material infringes intellectual-property rights should provide a written notice identifying the protected work, the challenged material and location, contact information, the basis of the claim, a good-faith statement and evidence of authority. Woodlentra Studio may request additional information, restrict material during review, forward the notice to an affected client or provider, and take action appropriate to the circumstances.

Knowingly false or misleading notices can cause harm and may create liability. Parties should obtain qualified legal advice when rights or defenses are uncertain.

14. Unauthorized use and remedies

Unauthorized copying, credential use, publication, reverse engineering where prohibited, license circumvention or commercial exploitation may result in access restriction, demand for removal, suspension of license and pursuit of available legal remedies. Failure to enforce a right immediately is not a waiver.
